These Terms & Conditions (the "Terms") form a binding agreement between you and Roadpass Trading, a company registered in Cyprus ("Roadpass Trading," the "Company," "we," "us," or "our"), operator of the QR Online Generator website at qr-online-generator.com (the "Website") and the related QR code generation services (the "Service"). The Service lets you design and create dynamic QR codes, upload files for hosted QR types, and view aggregate scan tracking for dynamic QR codes. Designing and customizing a QR code is free of charge; an active paid subscription is required to download a QR code and to keep its link resolving when scanned. Please read these Terms carefully before using the Service.

1. Acceptance of Terms

These Terms govern the relationship between you and the Company regarding your access to and use of the Website and the Service. By accessing, browsing, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree with any part of these Terms, you must not access or use the Service. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Account

To use certain features of the Service you must register for an account. You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account and use the Service. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account, and you agree to notify us immediately at support@qr-online-generator.com of any unauthorized use or suspected breach of security.

3. User Conduct & Prohibited Activities

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for the content you encode into QR codes and for any files you upload for hosted QR types. Encoding malicious, deceptive, or otherwise unlawful URLs or content into QR codes is strictly prohibited.

Without limiting the foregoing, you may not:

  • use the Service in any unlawful manner or in violation of any applicable law or regulation;
  • infringe the intellectual property or other rights of the Company or any third party;
  • transmit software viruses or any other computer code designed to interrupt, destroy, or limit the functionality of any software, hardware, or telecommunications equipment;
  • use automated scraping, crawling, or data-harvesting tools, or access the Service by any means we have not expressly authorized;
  • circumvent, disable, or otherwise interfere with security-related features of the Service;
  • attempt to gain unauthorized access to the Service, other user accounts, or our systems;
  • reverse engineer, decompile, or disassemble any part of the Service;
  • remove, obscure, or alter any proprietary notices displayed on the Service;
  • send spam, unsolicited communications, or fraudulent or deceptive content;
  • impersonate any person or entity or misrepresent your affiliation with anyone; or
  • share, sell, or transfer your account credentials to any third party.

4. Subscription, Billing & Payments

The core Service — working, scannable QR codes — is offered on a subscription basis. The subscription costs USD 49.90 per month or USD 500 per year, as selected at checkout, and new subscribers may be offered a 7-day trial for a one-time USD 1.95 activation fee that automatically converts to the selected plan at the end of the trial unless canceled before the trial ends. All subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date, and charges are applied to your payment method at the start of each billing period. If your subscription ends — through cancellation, non-payment, or otherwise — your QR codes stop resolving and downloads are disabled until you subscribe again; your account, designs, and scan history are retained. We will provide at least 30 days' notice of any change to subscription prices, and continued use of the Service after a price change takes effect constitutes your acceptance of the new price. Failed or declined payments may result in the suspension of your account's QR codes until payment is successfully collected.

Except where required by applicable law or expressly provided in our Refund Policy, all sales are final and non-refundable. If you are a consumer resident in the EU, EEA, or United Kingdom, you may have a statutory right to withdraw from a purchase of digital services within 14 days; however, by starting to use a subscription you may expressly request that the service begin during the withdrawal period and acknowledge that you lose the right of withdrawal once the service has been fully delivered. 5. Disclaimer & Limitation of Liability

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any QR codes, hosted files, or scan analytics will always be available or accurate. To the maximum extent permitted by applicable law, the Company's total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the greater of EUR 100 or the amounts you paid to us in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

6. Governing Law & Dispute Resolution

These Terms, and any dispute or claim arising out of or in connection with them or the Service, are governed by and construed in accordance with the laws of the Republic of Cyprus. You agree that any such dispute shall be subject to the jurisdiction of the courts of Cyprus. This is without prejudice to, and does not deprive you of, any mandatory consumer-protection rights you may have under the laws of your country of residence, including, for consumers resident in the EU or EEA, the protections afforded by applicable EU consumer law.

7. Intellectual Property

The Company owns or licenses all content, software, designs, trademarks, and other materials that make up the Service, and no rights are granted to you other than the limited right to use the Service in accordance with these Terms. You retain ownership of the content and files you upload, but you grant the Company a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, and use such content as reasonably necessary to operate and provide the Service to you. Any feedback, suggestions, or ideas you provide about the Service are given voluntarily and on a royalty-free basis, and we may use them without any obligation or compensation to you.

8. Privacy & Data Protection

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data, including data generated through aggregate scan tracking of dynamic QR codes. By using the Service, you consent to the collection and processing of your information as described in the Privacy Policy, including processing by trusted third-party service providers and, where applicable, transfers of data across borders, in each case subject to the safeguards required by law. Please review the Privacy Policy carefully to understand your rights and choices.

9. Termination & Suspension

You may stop using the Service and terminate your account at any time; termination does not entitle you to a refund except as required by applicable law or as provided in our Refund Policy. We may suspend or terminate your access to the Service immediately and without prior notice in the event of a breach of these Terms, a valid legal request, prolonged account inactivity, suspected fraud, non-payment, or security concerns. Upon termination we may deactivate or delete your account and any associated content and data, including hosted files and dynamic QR code destinations, and dynamic QR codes may cease to resolve.

10. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your violation of these Terms, your misuse of the Service, or your infringement of any law or the rights of any third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses.

11. Electronic Communications

By using the Service, you consent to receive communications from us electronically, including account notices, transactional messages, policy updates, and, where permitted by law, promotional information. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. You may withdraw your consent to promotional communications at any time by following the unsubscribe instructions included in those messages, without affecting communications necessary for the operation of your account.

12. DMCA / Copyright

We respect the intellectual property rights of others and expect our users to do the same. If you believe that content available through the Service infringes your copyright, you may send a notice of claimed infringement to support@qr-online-generator.com. Your notice should include identification of the copyrighted work claimed to have been infringed, identification of the allegedly infringing material and its location on the Service, your contact information, and a statement, made in good faith, that you believe the use is not authorized by the copyright owner, its agent, or the law. We may remove or disable access to allegedly infringing material and, in appropriate circumstances, terminate the accounts of repeat infringers.

13. Modifications to Terms

We may modify these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. For material changes, we will provide at least 30 days' notice, for example by posting the updated Terms on the Website or notifying you by email. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service before they become effective.

14. General

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and the Company regarding the Service and supersede any prior agreements. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision. You may not assign or transfer your rights or obligations under these Terms without our prior written consent, while we may freely assign ours; and neither party shall be liable for any delay or failure to perform resulting from events beyond its reasonable control (force majeure).
